Terms of Service
Effective Date: 1 January 2026
1. Introduction and Acceptance
These Terms of Service (“Terms”) form a legally binding agreement between you (“User,” “you,” or “your”) and FEROEVENT LIMITED, a company incorporated under the laws of the Federal Republic of Nigeria with its registered office 1, JOFEL CLOSE, OFF ADA GEORGE ROAD, RIVERS STATE, NIGERIA (“FeroEvent,” “Company,” “we,” “us,” or “our”), governing your access to and use of the FeroEvent website, mobile applications, APIs, and all related event-management, ticketing, livestreaming, multistreaming, cloud recording, file-sharing, and communication services (collectively, the “Platform” or “Services”).
By creating an account, accessing, or using the Platform in any way, you accept and agree to be bound by these Terms, our Privacy Policy, and, if you host events, our Host/Organizer Agreement, each of which is incorporated by reference. If you do not agree, you must not access or use the Platform.
The Platform is accessible to users worldwide. These Terms are drafted to apply regardless of the country from which you access the Platform, subject to the region-specific provisions in Section 20 (International Users) and any mandatory local consumer-protection law that cannot be waived.
If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to both you individually and the organization.
2. Definitions
“Attendee” means any User who registers for, purchases a ticket to, or otherwise participates in an Event.
“Event” means any physical, virtual, or hybrid gathering, session, or activity created, listed, streamed, or managed through the Platform.
“Host” or “Organizer” means any User who creates, lists, or manages an Event through the Platform, and whose use of the Platform is additionally governed by the Host/Organizer Agreement.
“Content” means any text, image, video, audio, livestream, recording, document, chat message, or other material uploaded, transmitted, streamed, or made available through the Platform by any User.
“Ticket” means a right of admission or access to an Event sold or issued through the Platform, whether paid or free.
3. Eligibility and Accounts
You must be at least 18 years old, or the age of legal majority in your jurisdiction if higher, to create an account or make a purchase on the Platform. The Platform is not directed at, and must not be used by, children under 13 (or the minimum age of digital consent in their jurisdiction, if higher).
You agree to provide accurate, current, and complete information when creating an account and to keep that information up to date.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.
We reserve the right to refuse registration, suspend, or terminate any account at our discretion, including where we reasonably suspect fraud, misuse, or a violation of these Terms.
4. Description of Services
FeroEvent provides an integrated event operating system, including: event creation, search, and registration; ticketing with payment processing and payout to Hosts; live audio/video streaming; multistreaming of Events to third-party destinations; cloud recording and live-to-video-on-demand conversion; live clipping; real-time file and resource sharing during Events; and Event-based group chat.
We may add, modify, suspend, or discontinue any feature of the Platform at any time, with or without notice, and without liability to you, except where required otherwise by applicable law.
The Platform relies on third-party infrastructure, payment processors, and streaming/content-delivery networks. We do not control, and are not responsible for, the availability or performance of those third-party systems, although we take commercially reasonable steps to select reliable providers.
5. Payments, Fees, and Taxes
Ticket prices are set by Hosts. FeroEvent charges a service fee on ticket sales and/or payment processing, as disclosed to the Host and, where applicable, the Attendee, at the time of the transaction.
Payments are processed through third-party payment processors, including Paystack and Stripe. By making a payment, you agree to the applicable processor's terms in addition to these Terms. We are not responsible for errors, delays, or failures caused by a payment processor.
All fees are displayed in the currency shown at checkout. You are responsible for any currency conversion fees, foreign transaction fees, or bank charges imposed by your card issuer or bank.
You are solely responsible for determining and remitting any taxes (including VAT, sales tax, or withholding tax) applicable to your use of the Platform, your ticket sales, or your income earned as a Host, in your jurisdiction.
Refunds are governed by our Refund and Cancellation Policy, incorporated by reference into these Terms.
6. Host Obligations
Hosts are independently responsible for the legality, accuracy, quality, and delivery of their Events and Content. Hosting an Event through the Platform does not make FeroEvent a co-organizer, promoter, or guarantor of that Event.
Hosts must hold all licenses, permits, and rights necessary to host their Event and to stream, record, and distribute any associated Content (including music, performances, and third-party materials), and must obtain any consents from performers, speakers, or Attendees required by applicable law, including for recording and livestreaming.
Additional obligations specific to Hosts, including payout mechanics, chargeback liability, and cancellation duties, are set out in the separate Host/Organizer Agreement, which every Host must accept before creating an Event.
7. Acceptable Use Policy
You agree not to use the Platform to create, upload, stream, share, or transmit any Content or engage in any conduct that:
- is unlawful, fraudulent, defamatory, obscene, or infringes the intellectual property, privacy, or other rights of any person;
- depicts or facilitates child sexual abuse material, or otherwise sexualizes, exploits, or endangers minors in any way;
- incites violence, hatred, or discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, or any protected characteristic;
- harasses, threatens, bullies, stalks, or intimidates any person;
- promotes or facilitates terrorism, human trafficking, or other serious crime;
- infringes any copyright, trademark, trade secret, or other proprietary right, including unauthorized streaming or recording of copyrighted performances;
- involves fraud, money laundering, or the sale of illegal, counterfeit, or regulated goods or services (including unlicensed financial or investment schemes);
- contains malware, viruses, or any code designed to disrupt, damage, or gain unauthorized access to the Platform or any system connected to it;
- involves scraping, data-mining, reverse engineering, or automated extraction of Platform data without our prior written consent;
- attempts to circumvent payment processing, ticketing controls, or access restrictions, including reselling Tickets in violation of applicable law or the Host's stated terms;
- impersonates any person or entity or misrepresents your affiliation with any person or entity;
- sends unsolicited bulk communications (spam) through the Platform's chat, messaging, or notification features; or
- otherwise violates any applicable law or regulation in the jurisdiction from which you access the Platform.
We reserve the right, but not the obligation, to monitor, review, remove, or restrict access to any Content, and to suspend or terminate any account, at our sole discretion, where we believe this Acceptable Use Policy or any other part of these Terms has been violated, without liability to you and, where legally permitted, without prior notice.
You are solely responsible for any Content you upload, stream, or share. We do not pre-screen Content and do not endorse any Content posted by Users.
8. Content Ownership and License
You retain ownership of the Content you create and upload. By submitting Content to the Platform, you grant FeroEvent a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, transmit, stream, publicly perform and display, and create derivative works of (e.g., clips, VOD conversions) that Content solely for the purpose of operating, providing, promoting, and improving the Platform and the Services.
You represent and warrant that you own or have all necessary rights to the Content you submit, and that your Content and its use as contemplated by these Terms do not infringe or violate the rights of any third party.
All rights, title, and interest in and to the Platform itself, including its software, design, trademarks (including “FeroEvent”), and underlying technology, are and remain the exclusive property of FeroEvent or its licensors. No rights are granted to you except the limited right to access and use the Platform in accordance with these Terms.
9. Copyright Infringement — Notice and Takedown
If you believe that Content on the Platform infringes your copyright, you may submit a written notice to feroevent@feroevent.com identifying the copyrighted work, the allegedly infringing material, your contact information, and a statement made in good faith that the use is unauthorized, along with a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the rights holder.
Upon receipt of a valid notice, we will notify the User who posted it and may directly remove or disable access to the allegedly infringing Content when the Host does not act as required. Repeat infringers will have their accounts suspended or terminated.
A User whose Content is removed may submit a counter-notice in accordance with applicable law; we will process such counter-notices in accordance with our internal policy, which may be requested by emailing the address above.
10. Livestreaming, Recording, and Service Availability Disclaimers
Livestreaming, multistreaming, cloud recording, and related features depend on internet connectivity, third-party networks, and infrastructure outside our control. We do not guarantee uninterrupted, error-free, or lag-free streaming, and we are not liable for any loss arising from network failure, bandwidth limitations, or third-party service outages.
On-demand access to recorded Events is generally made available for a limited period (currently up to 72 hours after an Event concludes, subject to change and to the Host's own settings), after which recordings may no longer be accessible. We are not liable for the unavailability of recordings after any such period. Event Hosts may wish to download the recording to an external drive for continued access.
We do not guarantee that any given Event will occur, will occur as scheduled, or will meet any particular standard of quality; Hosts are solely responsible for their Events.
11. Disclaimer of Warranties
To the fullest extent permitted by applicable law, the Platform and all Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including without limitation implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.
We do not warrant that the Platform will be uninterrupted, secure, timely, or error-free, that defects will be corrected, or that the Platform is free of viruses or other harmful components. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
12. Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall FeroEvent, its directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of, or inability to use, the Platform, whether based on contract, tort, strict liability, or any other legal theory, and whether or not we have been advised of the possibility of such damages.
To the fullest extent permitted by applicable law, our total aggregate liability to you for any claim arising out of or relating to these Terms or the Platform shall not exceed the greater of (a) the total fees paid by you to FeroEvent in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred United States Dollars (US$100).
The limitations in this Section 12 apply even if any remedy fails of its essential purpose, and are an essential basis of the bargain between you and FeroEvent. Some jurisdictions do not allow the limitation or exclusion of certain damages, so some of the above limitations may not apply to you, in which case our liability will be limited to the maximum extent permitted by law.
We are not liable for any dispute, loss, or damage arising between a Host and an Attendee, or between Users, including in respect of the quality, safety, legality, or occurrence of an Event. Our role is limited to providing the Platform through which Events are created, listed, and accessed.
13. Indemnification
You agree to defend, indemnify, and hold harmless FeroEvent, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your access to or use of the Platform; (b) your Content; (c) your violation of these Terms or any applicable law; or (d) your violation of any right of a third party, including any intellectual property or privacy right.
14. Termination and Suspension
You may stop using the Platform and close your account at any time by contacting us.
We may suspend or terminate your access to the Platform, with or without notice, for any violation of these Terms, suspected fraud, legal or regulatory requirement, or at our discretion where we reasonably believe it necessary to protect the Platform, other Users, or FeroEvent.
Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination — including Sections 8 (Content License), 11 through 13 (Disclaimers, Limitation of Liability, Indemnification), 16 (Dispute Resolution), and 17 (Governing Law) — shall survive.
15. Dispute Resolution
We encourage you to contact us first at feroevent@feroevent.com to attempt to resolve any dispute informally before pursuing formal proceedings.
If a dispute cannot be resolved informally within thirty (30) days, the Parties agree that the dispute shall be referred to and finally resolved by arbitration administered under the Arbitration and Conciliation Act of Nigeria (or its successor legislation), by a sole arbitrator, seated in Port Harcourt, Rivers State, Nigeria, and conducted in the English language. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
Notwithstanding the above, either Party may bring an individual action in small claims court where available and appropriate, and FeroEvent may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
To the extent permitted by applicable law, you agree that any dispute resolution proceeding will be conducted only on an individual basis and not as a class, consolidated, or representative action. Where mandatory local consumer protection law grants you a non-waivable right to litigate in your local courts, or prohibits mandatory arbitration or class-action waivers, that mandatory law shall govern instead of this Section to the extent of the conflict.
16. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles, save where the mandatory consumer-protection or data-protection law of your country of residence requires otherwise, in which case that mandatory law applies solely to the extent required.
17. Export Control and Sanctions
You represent that you are not located in, under the control of, or a national or resident of any country or region subject to comprehensive trade sanctions, and that you are not listed on any government denied-party, sanctions, or watch list. You agree to comply with all applicable export control and economic sanctions laws in your use of the Platform.
18. Force Majeure
FeroEvent shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disaster, war, terrorism, civil unrest, labor disputes, internet or power outages, governmental action, or failure of third-party infrastructure or payment processors.
19. Changes to These Terms
We may update these Terms from time to time. Where changes are material, we will provide reasonable notice, such as by posting a notice on the Platform or sending an email, before the changes take effect. Your continued use of the Platform after the effective date of any change constitutes your acceptance of the revised Terms.
20. International Users
The Platform is operated from Nigeria and is made available to users globally. If you access the Platform from outside Nigeria, you do so on your own initiative and are responsible for compliance with your local laws, to the extent local laws are applicable.
For users in the European Economic Area, United Kingdom, and Switzerland, and for users in California and other jurisdictions with specific statutory consumer or privacy rights, nothing in these Terms is intended to override any non-waivable statutory right you hold under the law of your habitual residence. Where a provision of these Terms conflicts with such a mandatory right, the provision shall be read down to the minimum extent necessary to comply, and the remainder of these Terms shall remain in full effect.
21. General Provisions
Entire Agreement — These Terms, together with the Privacy Policy, Host/Organizer Agreement (where applicable), and Refund and Cancellation Policy, constitute the entire agreement between you and FeroEvent regarding the Platform.
Severability — If any provision of these Terms is found unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
No Waiver — Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Assignment — You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
Relationship of the Parties — Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and FeroEvent.
